What are the initial registration requirements?

  • Uniform Franchise Registration application
  • Consent to Service of Process
  • One copy of the Franchise Disclosure Document (FDD)
    which must be submitted on CD-Rom
  • Franchise Seller Disclosure forms
    which must be submitted on CD-Rom
  • $500 filing fee

What are the renewal registration requirements?

  • Uniform Franchise Registration application
  • One copy of the Franchise Disclosure Document (FDD)
    which must be submitted on CD-Rom
  • Franchise Seller Disclosure forms
    which must be submitted on CD-Rom
  • $250 filing fee

When is the renewal registration due?

  • Renewal is due prior to the expiration of the current registration
  • If the renewal application is not received prior to the expiration, the application will be treated as an initial application requiring a total $500 filing fee
  • Extensions may be requested in writing to the Office of the Indiana Secretary of State, securities division, registrations attorney and the request must be received prior to the expiration of the current registration

Is there any de minimus clauses?

  • Franchisor may sell one franchise in one 24-month period without registering the franchise

Are amendment filings required?

  • Amendments and advertising materials are not required to be filed
