There are several reasons that can lead a business to close. Whatever the reason, it is important to close whatever tax accounts the business may have with the Indiana Department of Revenue.

Closing a business is not as simple as just closing the door one last time and going home. In addition to getting rid of inventory and assets, closing bank accounts, etc., final paperwork will need to be filed with the Indiana Department of Revenue

To close business accounts with the Indiana Department of Revenue:

  • All business accounts (sales/use tax, withholding, food and beverage, etc.) must be up to date and paid in full.
  • Make sure the Department’s records are current and list the correct responsible officers for the business.
  • A business closure request form (BC-100) must be filed for each location. This step is very important. If the locations are not properly closed and returns are not filed, fees and costs that would be due, even if no tax is due, would be charged.

If the business owner is a corporation and chooses:

  • To dissolve it, he or she must file Form IT-966. When filing the last corporate income tax return, be sure to mark it “FINAL”.
  • NOT to dissolve it, file the Business Entity Report 48725. If he or she fails to do so, the Secretary of State’s office will dissolve the corporation. Then the owner will have to go through additional costs and paperwork to get the corporation reinstated.
